FileCloud End-of-Life Policy

Date: June 14, 2024

Overview

FileCloud recognizes that end-of-life (“EoL”) milestones can be disruptive and require changes to our customer’s deployments. Based on market and customer assessment, as well as technology and innovation advancements, products may reach the end of their lifecycle. With this in mind, we have set out the below EoL policy to help with managing product transitions and changes due to EoL events.

Scope

FileCloud’s EoL policy (“Policy”) applies to all FileCloud software, features, capabilities, cloud services, and service offerings (collectively “Products)”. This Policy covers all EoL notifications made on or after June 1, 2024 and does not apply to products that have already entered an EOL process prior to June 1, 2024.

Policy

  • External notifications announcing the start of the EOL process for a given product are typically issued 90 days before the initial End-of-Sale (“EoS”) date, after which the offering will no longer be generally available (GA) for purchase, download, implementation, activation, or renewal. Notifications will be made in writing to customers and partners as listed in the FileCloud Support Portal ‘Announcements’ section and posted to relevant software Release Notes where applicable.
  • Generally, no subscriptions (including renewals) with a term extending beyond 12 months from the announced EoS date will be sold after the EoL notification date.
  • The last customer ship date will typically coincide with the EoS date, unless otherwise defined in a specific product’s EoL notification.
  • Unless otherwise defined in a given product’s EoL notification, hotfixes, security updates, workarounds, and patches for critical bugs will be provided for one (1) year after EoS. Generally, new feature development will cease for products that have entered an EOL process. Non-core products and features may receive the aforementioned maintenance for a minimum of 90 days after the initial EoS milestone. In certain cases, the workaround for addressing a defect may entail applying a product software update or moving to a replacement feature, solution, or product.
  • Customers with active support contracts for products that have entered an EoL process will be provided support on the product through the EoL date. If the customer purchased a support contract that extends beyond the EoL date of the product prior to its EoL being determined, FileCloud will continue to provide ‘best effort’ support for the EoL product beyond its EoL date to the end of the support contract term or work with the customer to provide an alternative solution. These alternatives may entail applying a product software update or moving to a replacement feature, solution, or product.

FileCloud Acquires Signority, Adding e-Signature and Advanced Document Workflow Capabilities to its Product Portfolio

FileCloud Acquires Signority

Austin, TX – May 23, 2024FileCloud, a leader in content governance and collaboration for unstructured data, announced today the acquisition of privately held Signority, a Canadian-based e-Signature and document workflow platform. Signority, an SOC 2 and CSA STAR Level 2 compliant company, provides organizations with a secure, end-to-end automated digital signature that enables seamless digital transactions. Signority is the perfect fit for FileCloud’s key acquisition criteria with its competitive technology and loyal customer base. This acquisition presents an opportunity for FileCloud to utilize its global platform for additional scale, growth, and efficiency and establish a strong foothold in Canada, in addition to its ever-expanding global presence.

Thousands of organizations leverage FileCloud solutions to manage hundreds of petabytes of business-critical data, while satisfying compliance and governance requirements. Signority, a Canadian-owned and operated company, on the other hand, has built a business focused on helping customers solve the most complex e-Signature and document workflow problems in regulated industries. The two solutions’ complementary nature, along with both organizations’ shared focus on being customer centric and providing best in class customer support, enables FileCloud to simplify end-to-end content management for customers in a hyper-secure and compliant way. Additional synergies, such as a shared focus on data residency, have been of critical importance for both organizations. For FileCloud, the ability to empower enterprises to securely store and manage data within their geographic boundaries has been a major competitive advantage for quite some time. For Signority, Canadian customers have been guaranteed the peace of mind that all data is stored within Canada, in a hyper-secure way.

“Remote work and the push towards digitalization has expanded customer requirements for supporting digital workflows with their enterprise content,” said FileCloud CEO, Ray Downes. “e-Signature represents a key component within our customer’s content lifecycle management and workflows. This acquisition will help us accelerate our impact for customer digitalization, enabling them to meet compliance requirements for sensitive content processing.”

Compliance is a key driver for content sharing, collaboration, and governance platform selection by customers. Regulations such as the E-Sign Act and 21 CFR Part 11 in the US (and the UETA in the EU) are highlighting the need to fulfill digital signature requirements across a range of verticals. This, combined with industry-specific and jurisdictional regulatory requirements means that customers have the challenge of ensuring that their content handling processes are compliant across multiple dimensions. FileCloud simplifies the efforts needed to meet these requirements.

“We are extremely proud of what we’ve been able to achieve as a business,” said Jane He, CEO, Signority. “As part of FileCloud, I’m confident that Signority will thrive in the next chapter of its journey. Not only will the combined portfolio provide great benefits to customers and partners, but the cultural and strategic alignment will provide an ecosystem for global scaling and success. The complementary nature of our product portfolios means that we will be able to broaden the use cases we can address for customers with a range of content compliance and governance requirements.”

Transaction Details

FileCloud acquired Signority in a private transaction in concert with its lead investor, Savant Growth. The transaction is expected to be accretive to ARR and cash flow, beginning in the fiscal 3rd quarter of 2024.

Data Transfer to Third Countries

FileCloud is aware of the fact that on July 16, 2020, the European Court of Justice has issued a ruling invalidating the EU-US Privacy Shield Framework.

FileCloud is monitoring any and all developments with a and is close observance of all applicable guidelines and guidance from the European Commission and the US Government.

The ruling does not change FileCloud’ ability to continue offer our products and services and we rely on the derogation provided by article 49, paragraph (1) letter a) and any time we collect personal data that are to be transferred outside the EU or EEA, we will provide all necessary details and obtain your prior consent.

Depending on each situation, FileCloud may also rely on the derogation provided by article 49, paragraph (1) letter b) if the transfer of personal data is necessary for the performance of a contract between the User – data subject and FileCloud or the implementation of pre-contractual measures taken at the User – data subject’s request.

FileCloud’s services require data to flow from the European Union (EU), the European Economic Area (EEA) to the United States (U.S.) and back. To ensure that EU personal data is protected FileCloud has implemented all reasonable technical and organizational measures and is processing the personal data with the observance of all processing principles – mainly but not limited to data minimization principle.

We remain committed to ensuring the continuance use our products and services worldwide.

Note: FileClouds data centers, which store our user’s – data subjects’ information, are currently located in the U.S.

FileCloud is monitoring developments regarding a Privacy Shield replacement and will update here if there are updates.

Latest RHEL 9 Updates Impacting FileCloud Server Licensing

To: Customers With FileCloud Server Deployed on Red Hat Enterprise Linux (RHEL) 9

The latest updates to RHEL 9 have created a licensing issue that impacts all production, trial, and community edition instances running on this operating system.

Issue

FileCloud licensing leverages SHA-1 for license encoding and verification. However, the message digest algorithm SHA-1 has been replaced by SHA-256 in RHEL 9. While still available in the system, Red Hat has disabled SHA-1 by default in preference to the more secure SHA-256 algorithm.

As a result, FileCloud licenses cannot be processed by the system.

Impact

If you are running FileCloud Server on RHEL 9 and perform the latest package update on your Linux installation, you will be presented with the message, “invalid license” and users will be unable to log in.

interface screenshot

Workaround

The current workaround to allow for FileCloud licenses to function properly on RHEL 9 installations is to bypass the new operating system hash algorithm defaults by taking the following steps:

  1. Open /etc/pki/tls/openssl.cnf
  2. Append the following lines to the end of the file:
        [openssl_init]
        alg_section = evp_properties
        [evp_properties]
        rh-allow-sha1-signatures = yes

  3. Reboot the server.

Status

A permanent resolution to this issue is currently pending. We will provide further updates as soon as they are available.
